Client Service Agreement

This is our standard agreement for website and app projects. Before work starts, we send you a copy with your project details filled in to sign or accept by email.
1. Parties
Eric Macias, doing business as Coreplex Design (LLC pending) ("Designer"), and the client named in the quote ("Client").
2. Scope
Designer will deliver the package and add-ons listed in the quote (for example Starter $850, Standard $1,275 or Premium $1,870), including the pages, features and number of revisions listed. Work not in the quote is a change request and is quoted separately before it is done.
3. Deposit and payment
A 50% deposit is due to start. It is non-refundable once work has started. The remaining 50% is due before launch or handover. Invoices are due within 7 days. Late invoices may be charged 1.5% per month (or the legal maximum, if lower), and work or services may be paused until paid.
4. Revisions
Each package includes 2 rounds of revisions on the design and content (Premium includes extra rounds as listed). A round is one consolidated list of changes. More rounds or new features are billed at the quoted rate.
5. Timeline
The estimated timeline is listed in the quote and starts once the deposit and Client content are received. Delays in Client feedback or content push the timeline back. If Client doesn't respond for 30 days, the project may be paused; restarting may require rescheduling.
6. Client content
Client provides text, photos, logos and logins on time and confirms it has the rights to use them. Client is responsible for the accuracy and legality of its content.
7. Ownership and IP transfer
When all invoices are paid in full, ownership of the final site, its design and Client content transfers to Client. Third-party software, fonts, plugins and stock assets remain under their own licenses. Designer keeps ownership of its general tools, code libraries and know-how and grants Client a permanent license to use them in the site. Designer may show the work in its portfolio unless Client opts out in writing.
8. Hosting, domains and maintenance
Domains, hosting and app store accounts are in Client's name and paid by Client. After launch, Client chooses a full handover or a monthly care plan (Light $100/mo, More $150/mo, App Care $125/mo, App Care Plus $200/mo). Care plans renew monthly and can be cancelled with 30 days' written notice.
9. Cancellation and kill fee
Either party may end the project with written notice. Client pays for work completed to date; the deposit is kept as a kill fee. If Designer ends the project without cause, Designer refunds any payments for work not yet done.
10. Warranty and limitation
Designer fixes bugs caused by its work reported within 30 days after launch. Otherwise work is provided "as is," with no guarantee of search rankings, traffic or sales, or of third-party services. Designer's total liability is limited to the fees Client paid under this agreement, and neither party is liable for indirect or consequential damages.
11. General
Texas law governs this agreement, with venue in Bexar County, Texas. This agreement, the quote and our Terms of Service are the full agreement. Accepting by signature, email reply or paying the deposit counts as agreement.
